today to implement the downsizing of the Finetech business to reallocate
management resource to maximize the corporate value as mentioned below.

TOPCON decided to stop the development, manufacture and sales of, in the field
related to semiconductor, most advanced optical inspection system, the large-size
electron beam inspection system, the transmission electron microscope, and
the 3D inspection system, and in the field related to optical devices,
the optical engine for projector and the optical components for DVD drive.

In conjunction with these changes in our business operation, we proceed with the elimination of relating assets by write-off and sale by the end of March, 2012 as a guideline, and the optimization of employees involved in the said division.
